When is trade registration generally relevant?
Germany’s federal business start-up portal explains that an activity carried out continuously, independently, on one’s own account, and with an intention to make profit is generally commercial unless an exception applies. Commercial operators normally register with the local trade office.
Issuing an invoice does not legalise an activity that should have been registered. Clarify your status with the trade office, tax office, IHK, or HWK before accepting regular work.
Freelancers and occasional private transactions
Members of the liberal professions generally do not register a trade, but they still register their activity for tax purposes. The actual work and how it is performed determine freelance status, not the label you choose.
A one-off private sale is not automatically a commercial self-employed service. Repetition, organised market activity, and an intention to make profit can change the assessment.
What belongs on the document?
If you are entitled to bill for the service, the invoice details must reflect your actual tax situation. The parties, date, service, amount, and an accepted tax identifier are particularly important.
Do not claim Kleinunternehmer status without checking it, and do not add VAT without a proper basis. The Kleinunternehmer scheme is a VAT status, not a substitute for classifying or registering your activity.
